END USER LICENSE AGREEMENT

This End User License Agreement ("Agreement") is a binding agreement between you ("End-User," "Authorized User," or "You") and SCAN BUD, LLC, a company registered at PO Box 222, Saline, Michigan 48176, United States ("Licensor"). This Agreement governs your use of the SCAN BUD App, including its mobile and web applications (collectively, the "Licensed Application"), accessed via Apple's App Store, Google's Play Store, or supported web browsers (collectively, the "Services"). By downloading, installing, accessing, or using the Licensed Application, You agree to be bound by the terms and conditions of this Agreement, including our Acceptable Use Policy. The Services are not parties to this Agreement and are not responsible for the Licensed Application, including its warranty, maintenance, or support. SCAN BUD, LLC is solely responsible for the Licensed Application and its content. This Agreement complies with the latest Apple Media Services Terms and Conditions and Google Play Terms of Service ("Usage Rules"). The Licensed Application is intended for business use by licensed delivery companies for product delivery confirmation and tracking, integrating with systems like Metrc. It is not for consumer purposes.

1. The Application
The SCAN BUD App ("Licensed Application") is a B2B software platform comprising mobile and web applications designed for product delivery confirmation and tracking, integrating with Metrc API for manifests, routes, and chain of custody data.

● The mobile app is customized for use on devices running Apple’s iOS or Google’s Android operating systems ("Devices") and supports package label ID scanning, displaying manifest delivery routing, and scanning package label IDs at layover warehouses.

● The web app is accessible via supported web browsers and supports scheduling assignments, managing employees and vehicles, managing manifests, and handling account settings (e.g., billing, Metrc API integration, employee permissions).
The Licensed Application enables Authorized Users to manage delivery assignments, track delivery lifecycles, and handle regulated data efficiently.
2. Customer and Authorized Users
2.1. Definitions: A "Customer" is a licensed delivery company or entity that subscribes to the Licensed Application on a per-vehicle basis, providing access to two driver profiles per vehicle and an unlimited number of scheduler and scanner profiles for Authorized Users under their subscription. An "Authorized User" is an individual (e.g., employee) invited by the Customer to access the Licensed Application in a designated role (e.g., scheduler for route planning, driver for deliveries, or scanner for warehouse processing).

2.2. Customer Responsibilities: If You are an Authorized User, the Customer (e.g., your employer) has invited You to use the Licensed Application and controls Your access, including role assignments and data permissions (e.g., Metrc manifests). The Customer has entered into a separate agreement with Us (the "Customer Agreement") or agreed to our terms for subscription and configuration. As between Us and the Customer, You agree that it is solely the Customer’s responsibility to: (a) inform You of relevant policies, practices, and settings impacting data processing (e.g., Metrc manifests, route schedules);(b) obtain necessary rights, permissions, or consents from You for lawful use of data and the Licensed Application; (c) ensure transfer and processing of data (including Metrc integration) is lawful under Michigan and federal regulations; and (d) resolve any disputes with You relating to data, the Licensed Application, or the Customer’s obligations. We make no representations or warranties to You regarding the Licensed Application, which is provided "as is" and "as available."

2.3. Your Role: If You are accessing as an Authorized User, Your use is subject to the Customer's instructions and this Agreement. Contact Your Customer (e.g., company owner) to terminate access or resolve issues.
3. Scope of License
3.1. License Grant: You are granted a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on Devices You own or control (for mobile) or access via supported web browsers (for web), subject to the Usage Rules and the Customer's subscription. Authorized Users may access features based on roles assigned by the Customer (e.g., unlimited scheduler or scanner profiles, or up to two driver profiles per vehicle).

3.2. Updates: This Agreement governs any updates to the Licensed Application provided by the Licensor that replace, repair, or supplement the original Licensed Application, unless a separate license accompanies such updates, in which case the terms of that license will apply.

3.3. Restrictions: You may not:

● Share, sell, rent, lend, lease, or redistribute the Licensed Application to third parties without SCAN BUD, LLC’s prior written consent, except as permitted by the Usage Rules or the Customer.

● Reverse engineer, decompile, disassemble, modify, translate, or create derivative works of the Licensed Application, or attempt to derive its source code, except with SCAN BUD, LLC’s prior written consent.

● Copy or alter the Licensed Application, except as expressly authorized by this Agreement or the Usage Rules. You may create backup copies solely on Devices You own or control, provided no unauthorized third parties access these copies. Intellectual property notices must not be removed.

● Use the Licensed Application for unlawful purposes, including unauthorized Metrc API access or non-compliant delivery activities.

● If You sell or transfer Your Device to a third party, You must remove the Licensed Application from the Device prior to the transfer.

3.4. Violations: Any violation of the above obligations, or attempts to do so, may result in prosecution, damages, or termination of access.

3.5. Modifications: The Licensor reserves the right to modify the terms of this Agreement at anytime. Continued use of the Licensed Application after such modifications constitutes Your acceptance of the revised terms. We may notify You via email or in-app/web alerts.

3.6. Third-Party Terms: You must comply with applicable third-party terms and conditions when using the Licensed Application, including Metrc API terms for integrated data.
4. Acceptable Use Policy
You agree to comply with our Acceptable Use Policy ("AUP"), which prohibits:

● Illegal activities, including unauthorized use of Metrc data or non-compliant deliveries.

● Security breaches, such as unauthorized access to dashboards, manifests, or route schedules.

● Misuse of roles (e.g., drivers accessing scheduler functions without permission).

● Submitting false, inaccurate, or misleading data (e.g., incorrect package ID scans or signatures).

Violations may result in suspension or termination. Report issues to Your Customer or Us at ScanBud.Info@gmail.com.The full AUP is available in the App and incorporated herein.
5. Technical Requirements
5.1. The Licensed Application requires Devices running iOS 16.0 or higher (for Apple devices), Android 10 (API level29) or higher (for Android devices), and supported web browsers (e.g., the latest two versions of Google Chrome, Mozilla Firefox, Microsoft Edge, or Apple Safari) for web access. The Licensor recommends using the latest firmware or browser versions for optimal performance, including Metrc integration.

5.2. The Licensor strives to keep the Licensed Application compatible with updated firmware, browsers, and new hardware but does not guarantee such updates.

5.3. It is Your (and the Customer's)responsibility to ensure that Your Device or browser meets the technical requirements for the Licensed Application.

5.4. The Licensor may modify technical specifications at its discretion.
6. Maintenance and Support
6.1. SCAN BUD, LLC is solely responsible for providing maintenance and support for the Licensed Application, including both mobile and web components. You may contact the Licensor using the contact information provided in Section 14. For dashboard troubleshooting, We may remotely access Your mobile or web dashboard with Customer approval.

6.2. The Services have no obligation to provide maintenance or support for the Licensed Application.
7. Use of Data
Please review our Privacy Policy (linkedin the App or web platform) for details on data collection, use, retention, and disclosure, including Metrc manifests, billing info, route schedules, delivery lifecycle data (e.g., vehicle assignments, driver associations, package ID scans), and signatures. Both the Licensor and the Customer may access this data for purposes such as delivery management, compliance with Michigan Marijuana Regulatory Agency (MRA) requirements (including audits), and trouble shooting. Data may be exported in CSV format, subject to regulatory requirements. The Customer controls data instructions (e.g., retention, access permissions).
8. User-Generated Contributions
The Licensed Application allows Authorized Users to submit content related to product delivery, including:

●  Web App: Route schedules, vehicle and employee assignments, manifest management data, and account settings (e.g., billing, permissions).

● Mobile App: Signatures, package label ID scans, and delivery confirmations.
Such content, along with delivery lifecycle data (e.g., vehicle, driver, and manifest associations) ("Contributions"), may be viewable by other Authorized Users within the Customer’s subscription or third-party platforms(e.g., Metrc) based on Customer-configured access controls and are treated as non-confidential. By submitting Contributions, You represent and warrant that:

8.1. Your Contributions do not infringe on the proprietary rights of any third party, including copyrights, patents, trademarks, or trade secrets.

8.2. You are the creator and owner of Your Contributions or have the necessary licenses, rights, consents, or permissions to authorize their use by the Licensor, the Licensed Application, and other Authorized Users.

8.3. You have the legal right to submit Contributions containing personal data (e.g., signatures or driver names), as authorized by the Customer or applicable agreements (e.g., delivery or employment contracts).

8.4. Your Contributions are not false, inaccurate, or misleading (e.g., incorrect package ID scans, signatures, or manifest data).

8.5. Your Contributions do not violate any applicable laws, regulations, or third-party rights, including privacy, Michigan Marijuana Regulatory Agency rules, or Metrc API terms (e.g., accurate chain of custody reporting).

8.6. Both the Licensor and the Customer may access Contributions, including signatures, delivery assignments, and lifecycle tracking data, for purposes such as delivery management, compliance, and troubleshooting. Contributions may be exported in CSV format, subject to regulatory requirements.

8.7. If You encounter inappropriate or non-compliant Contributions, report them to Your Customer (e.g., company owner)or contact Us at ScanBud.Info@gmail.com. Customers are responsible for configuring access controls to limit visibility of Contributions. We may investigate reported violations and remove content or suspend users as needed.

Any violation of these terms may result in the suspension or termination of Your rights to use the Licensed Application.
9. Contribution License
By submitting Contributions to the Licensed Application, You grant the Licensor a non-exclusive, transferable ,royalty-free, worldwide license to use, reproduce, distribute, display, and modify Your Contributions for the purpose of operating, improving, and providing the Licensed Application, including compliance with regulatory requirements. The Customer retains access to Contributions for their business purposes, subject to their subscription terms. You retain ownership of Your Contributions and associated intellectual property rights. The Licensor is not liable for any statements in Your Contributions and reserves the right to editor delete Contributions at its discretion without notice.
10. Liability
10.1. The Licensor’s liability forbreaches of obligations or torts is limited to intentional conduct or gross negligence. For breaches of essential contractual duties, the Licensor is liable for slight negligence, but only for foreseeable, contractually typical damages. This limitation does not apply to injuries to life, limb, or health.

10.2. The Licensor is not responsible for damages due to Your breach of Section 3 obligations or the AUP. To avoid data loss, You must use the Licensed Application’s backup functions, where permitted by third-party terms.

10.3. Our maximum aggregate liability to You under this Agreement is one hundred dollars ($100), except where prohibited by law. Unless You are also a Customer, You have no financial liability to Us for breaches.
11. Warranty
11.1. The Licensor warrants that the Licensed Application is free of spyware, trojan horses, viruses, or other malware at the time of download or access and functions as described in the user documentation.

11.2. No warranty is provided if the Licensed Application fails due to unauthorized modifications, improper handling, use with incompatible hardware, software, or browsers, or issues with Customer-provided Metrc credentials.

11.3. You must inspect the Licensed Application upon installation or access and report defects to the Licensor via email (see Section 14) within ninety (90) days of discovery.

11.4. If a defect is confirmed, the Licensor will endeavor to remedy it by fixing the defect or providing a substitute, as the primary remedy.

11.5. If the Licensed Application fails to conform to any applicable warranty and was purchased directly through the Services (e.g., Apple’s App Store or Google’s Play Store), You may notify the Services, and Your purchase price, if any, may be refunded. The Services have no further warranty obligations. Any issues with the Licensed Application should be reported to the Licensor for resolution under Section 11.4.

11.6. For entrepreneurs, claims based on defects expire twelve (12) months after the Licensed Application is made available. Statutory limitation periods apply for consumers.

11.7. Application of Consumer Law: The Licensed Application is intended for business use, not consumer purposes. To the extent permitted by law, consumer protection laws do not apply. If applicable, our liability is limited to refunding Your purchase price, if any.
12. Product Claims
SCAN BUD, LLC, not the Services, is responsible for addressing claims related to the Licensed Application, including product liability, regulatory non-compliance, or consumer protection issues.
13. Legal Compliance
You represent and warrant that You are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and that You are not listed on any U.S. government list of prohibited or restricted parties. You must be at least 21 years of age if handling regulated products (e.g., cannabis) under Michigan law, and of legal working age for Your role (e.g., scheduler, driver, scanner).

15. Termination
This Agreement remains in effect until terminated by You, the Customer, or the Licensor. Your rights will terminate automatically without notice if You violate any terms or the AUP. Upon termination, You must cease use and destroy all copies of the mobile app and stop accessing the web app. The Customer may deprovision Your access at anytime. Upon termination, the Customer may export data (e.g., manifests, route schedules, signatures) in CSV format before deletion, subject to regulatory requirements.
16. Third-Party Terms and Beneficiaries
SCAN BUD, LLC will comply with applicable third-party terms when using the Licensed Application, including Metrc API terms for data integration. Per Section 9 of the "Instructions for Minimum Terms of Developer’s End-User License Agreement," Apple, Google, and their subsidiaries are third-party beneficiaries of this Agreement. Upon Your acceptance, they have the right to enforce this Agreement against You.
17. Intellectual Property Rights
SCAN BUD, LLC, not the Services, is responsible for addressing any third-party claims that the Licensed Application in fringes on intellectual property rights.
18. Governing Law
This Agreement is governed by the laws of the State of Michigan, excluding its conflict of law rules. Any disputes shall be resolved in courts in Washtenaw County, Michigan.
19. Miscellaneous
19.1. Severability: If any provision of this Agreement is deemed invalid, the remaining provisions remain in effect. Invalid provisions will be replaced with valid ones that achieve the original purpose.

19.2. Waiver: No failure to exercise any right constitutes a waiver unless in writing and signed by an authorized representative.

19.3. Assignment: You may not assign Your rights or obligations without Our prior written consent. We may assign this Agreement to an affiliate or in connection with a merger or sale.

19.4. Entire Agreement: This Agreement, including the AUP and Privacy Policy, constitutes the entire understanding between You and Us. In conflicts, any Customer Agreement prevails, followed by this Agreement, then referenced policies.
